How a director is appointed

For most Hong Kong private companies the articles allow the existing board to appoint an additional director. The appointment is recorded in a directors’ resolution, the appointee signs a consent to act, the company updates its register of directors, and Form ND2A must reach the Companies Registry within 15 days of the appointment. After you sign
- Everyone signs — existing directors sign the resolutions; the new director signs the consent.
- File Form ND2A with the Companies Registry within 15 days of the effective date. The form itself is free to file.
- Update the register of directors kept at your registered office, and tell your bank if the new director will be a signatory.
