How a company name is changed
The name changes on the day the Registry issues the Certificate of Change of Name, not on the day the members sign. Everything in between — invoices, contracts, the bank mandate — still runs on the old name, which is why the resolution below records both.
The members pass a special resolution (75% of voting rights) changing the name, the company files Form NNC2 within 15 days, and the change takes effect only when the Companies Registry issues the Certificate of Change of Name — not when you sign. A company may have an English name, a Chinese name, or both; the English name must end with “Limited”.

After you sign
- All members sign the written special resolution (75% of voting rights is the legal minimum — this template assumes everyone signs).
- File Form NNC2 with the Companies Registry within 15 days (a filing fee applies). The change is effective from the Certificate of Change of Name.
- Update everything else: Business Registration Certificate (IRD), bank, company chops, licences, contracts and stationery.
